Terms and Conditions of Use

Procurement Union FZ-LLC

Last updated: 7th July 2026 Version: 1.0

  • These Terms and Conditions of Use (“Terms”) govern your access to and use of the Procurement Union website, the Procurement Union Companion application, the Procurement Union Knowledge Hub, the Public Library, and all related services (together, the “Service”), operated by Procurement Union FZ-LLC (“Procurement Union”, “we”, “us”, or “our”).

  • By accessing or using the Service, or by clicking to accept these Terms, you agree to be bound by them and by our Privacy Policy.

1. Definitions

• Kato (Procurement Union Companion): the AI companion that answers procurement questions and generates procurement artifacts, grounded in the Procurement Union Knowledge Hub and calibrated to your profile.

• Theca (Procurement Union Knowledge Hub): the community-contributed, anonymized procurement knowledge base, indexed for retrieval and organized around Procurement Union’s five-pillar operating model.

• Public Library: a separate, curated collection of publicly available procurement materials made browsable to eligible subscribers.

• KYC Profile: the role, industry, seniority, experience and company-size information you provide so that the companion can personalize its responses. This is not anti-money-laundering KYC.

• Subscriber Content: any input, prompt, query, file or material you submit to the Service.

• Contributed Content: Subscriber Content you choose to submit to Theca for the benefit of the community.

• Output: any text, document, draft, table or other material the Service generates in response to your inputs.

2. Nature of the Service and AI Disclaimer

Procurement Union Companion is an on-prem AI assistant built on statistical (language) models and retrieval over the Procurement Union Knowledge Hub. It is a support tool for procurement and purchasing work. It does not replace professional judgement, and it is not a provider of legal, regulatory, financial, tax or other professional advice.

Output may be incomplete, inaccurate, out of date, or unsuitable for your specific situation. You are responsible for: (a) testing and evaluating whether Output is fit for your intended purpose; (b) applying adequate human review at all times; and (c) identifying and mitigating any risk arising from its use. You remain solely responsible for all decisions and actions taken on the basis of the Service or its Output.

Output does not represent the opinions or position of Procurement Union and should not be relied upon as the sole basis for any commercial, contractual or compliance decision.

3. Eligibility and Accounts

You may use the Service only where it is lawfully available to you and only for lawful purposes. You must register with accurate, current and complete information and keep it updated. You acknowledge and accept the limitations of AI and large-language-model technology described in these Terms.

There is no specific minimum age to use the Service; if you are below the age of majority in your jurisdiction, you should review and agree to these Terms together with a parent or guardian. By using the Service you confirm that you meet these eligibility requirements.

4. Account Security

You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Accounts are personal and may not be shared or transferred. Notify us promptly at the contact address below if you become aware of any unauthorized access or use.

5. Subscription Plans and Payment

Procurement Union offers the following tiers. Exact features, limits and current pricing are set out on procurementunion.com and prevail over any summary below.

5.1 Billing and renewal

Paid plans are billed in advance through our payment processor (Stripe). All fees are stated exclusive of VAT and any other applicable taxes, which are added where required. Unless stated otherwise, paid subscriptions renew automatically for successive periods until cancelled, and a notice period of 30 days applies to cancellation.

5.2 Price changes

We may change prices and plan contents. We will give you advance notice of any price increase, and changes take effect from your next renewal. Continuing to use a paid plan after a change takes effect constitutes acceptance of the revised fee.

6. Fair Use Policy

Because different tools within the Service consume different amounts of computing resources, and usage patterns vary widely between users, plans are sized for usual and reasonable use. Usage that materially degrades service for others, or that is consistently and substantially above the level a plan is designed to support, falls outside the standard plan.

We monitor aggregate usage to maintain service quality and to assess whether use is within expected parameters. Where a user’s consumption is persistently above the budgeted level over a sustained period, we will: (a) contact the user to understand the need; (b) propose a tailored plan or additional capacity; and (c) where necessary, adjust the plan in transparent consultation. If no agreement can be reached, we may, after reasonable notice, decline to continue the affected usage.

7. Acceptable Use

You agree not to:

• use the Service for any unlawful, infringing, harmful or fraudulent purpose;

• upload content you do not have the right to share, or that contains confidential information of a third party without authorization;

• attempt to extract, copy, reverse-engineer, or derive the source code, models, prompts, weights, or Procurement Union Knowledge Hub data underlying the Service;

• attempt to de-anonymize Contributed Content or identify the contributor or any supplier referenced in Procurement Union Knowledge Hub material;

• circumvent usage limits, access controls, or the payment/authentication wall;

• resell, sublicense, or provide the Service to third parties except as expressly permitted;

• input personal data of others without a lawful basis or any data whose processing by an AI service is prohibited in your jurisdiction.

8. Intellectual Property

Procurement Union and its licensors own all intellectual property rights in the Service, including the Procurement Union Companion application, the Procurement Union Knowledge Hub structure and curation, the Public Library curation, the UB2S framework (Understanding Business, Suppliers & Spend), the 5-Pillar Operating Model, and all associated software, content, branding and design. The UB2S and 5-Pillar Operating Model methodology are proprietary and confidential to Procurement Union.

Subject to these Terms and to your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal professional use. No other rights are granted. You may not copy, modify, distribute, sell or lease any part of the Service except as expressly permitted.

8.1 Output

As between you and Procurement Union, and to the extent permitted by law, you may use Output for your professional purposes. Output is generated from shared, community-grounded knowledge and similar Output may be produced for other users; we therefore make no claim that Output is unique to you, and you should review it before any reliance or external use.

9. Subscriber Content and Community Contributions

You retain ownership of your Subscriber Content. You are responsible for ensuring that any content you submit is yours to submit, does not infringe third-party rights, and is not prohibited from sharing in your jurisdiction.

We do not use your Subscriber Content to train external models, and we do not sell it. We process it to operate the Service, and we may use anonymized, aggregated data to monitor, secure and improve the Service.

9.1 Contributing to the Procurement Union Knowledge Hub

Contribution is voluntary. When you choose to submit Contributed Content to the Procurement Union Knowledge Hub, you grant Procurement Union a worldwide, royalty-free, perpetual license to anonymize, transform, index, store and make that content available to other members as part of the Procurement Union Knowledge Hub. You confirm that you have the right to grant this license and that the content does not contain confidential third-party information, personal data, or material you are contractually or legally barred from sharing.

Anonymization and review-before-you-contribute

Contributed Content is passed through an automated process that removes supplier names and identifiable commercial information before indexing. Automated anonymization is not perfect. You are asked to review and confirm each contribution before submission, and you remain responsible for ensuring it is safe to share. If you believe content has been indexed in error, contact us and we will remove it.

10. Public Library and Third-Party Materials

The Public Library contains materials sourced from 3rd parties. Acceptance from rightful owners has been captured. Only public-domain or government-published materials are hosted directly; other third-party materials may be provided by link or reference rather than hosted and remain subject to their owners’ terms. Procurement Union does not claim ownership of 3rd party materials and provides them for reference only. If you are a rights holder and believe material has been made available improperly, contact us for prompt removal.

11. Data Sovereignty, Privacy and Security

Data sovereignty is a core architectural principle of Procurement Union. The Service runs on infrastructure controlled by Procurement Union; inference and retrieval are performed on that infrastructure, and your prompts and procurement content are not transmitted to external third-party LLM providers for processing. For future enterprise on-premises deployments/requests, this will be managed separately.

Your KYC Profile is stored to personalise Procurement Union Companion and is injected into the companion’s context during your sessions. Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. We apply reasonable technical and organisational measures to protect data, but no method of transmission or storage is completely secure.

12. Contract Drafts and Other Generated Documents

Where the Service helps you produce contracts, clauses, RFx packs, evaluation frameworks or similar materials, these are first-pass drafts and educational guidance only — not legal advice. You must validate jurisdictional and regulatory requirements and obtain qualified legal review before using any such material, especially for high-value or high-risk agreements. Procurement Union is not responsible for the legal sufficiency of any draft.

13. Disclaimer of Warranties

The Service is provided on an “as-is” and “as available” basis, without warranty of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service or its Output will be accurate, reliable, secure, uninterrupted, error-free, or free of harmful components, or that defects will be corrected. Your use of the Service is at your own risk.

14. Limitation of Liability

To the maximum extent permitted by law, Procurement Union and its directors, employees, partners and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or other intangible losses, arising out of or relating to your use of, or inability to use, the Service or its Output, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service is limited to the amount you paid to Procurement Union for the Service in the [twelve (12) months] preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded.

15. Indemnity

You agree to indemnify and hold Procurement Union harmless from claims, damages and costs arising from your breach of these Terms, your Subscriber or Contributed Content, or your use of the Service or Output in breach of applicable law or third-party rights.

16. Suspension and Termination

We may suspend or terminate your access if you breach these Terms or where we reasonably suspect a violation of applicable law. Where a breach is serious, suspension or termination may take effect immediately. On termination, your access ceases; your account may be blocked rather than immediately deleted, subject to our data-retention obligations. You may cancel at any time in accordance with Section 5. You may appeal a termination decision by contacting us at the address below.

17. Changes to the Service and to These Terms

We may modify, suspend or discontinue parts of the Service, and we may update these Terms from time to time. Where changes are material, we will provide notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

18. Communications

By using the Service you agree to receive service-related communications, such as notices about features, security and important announcements. You may opt out of non-essential promotional communications at any time using the unsubscribe link in the relevant message; essential service communications cannot be opted out of while you hold an account.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates as applied in RAK Economic Zone. The parties submit to the exclusive jurisdiction of the competent Ras Al-Khaimah courts / arbitration forum.

20. General

• Entire agreement: these Terms and the Privacy Policy are the entire agreement between you and Procurement Union regarding the Service.

• Severability: if any provision is held unenforceable, the remaining provisions remain in effect.
