Contributor License Agreement (CLA)

For subscribers contributing procurement files or knowledge to the Procurement Union Knowledge Hub
This Contributor License Agreement (“CLA”) governs any material you submit to the Procurement Union Knowledge Hub (Theca).
It supplements, and is incorporated into, our Terms and Conditions of Use and Privacy Policy.
By submitting Contributed Content, you agree to this CLA.
If you do not agree, do not contribute.
1. Definitions
• Contributed Content (“Content”): any document, file, template, data or knowledge you submit to the Procurement Union Knowledge Hub.
• Procurement Union Knowledge Hub: the community-contributed, anonymized procurement knowledge base operated by Procurement Union and organized around its five-pillar operating model.
• Anonymization: the automated process by which supplier names and identifiable commercial information are removed from Content before it is indexed.
• Platform: the Procurement Union website, the Procurement Union Companion application, the Procurement Union Knowledge Hub, and related services.
Capitalized terms not defined here have the meaning given in the Terms and Conditions of Use.
2. Your Ownership
You retain ownership of your Contributed Content. This CLA does not transfer ownership; it grants Procurement Union the license described in Section 3 so that the Procurement Union Knowledge Hub can operate.
3. The License You Grant
You grant Procurement Union a non-exclusive, worldwide, royalty-free, irrevocable, perpetual and sub-licensable license (sub-licensable only to the extent needed to operate the Platform) to:
• use, host, store and back up the Content;
• process, parse, convert and chunk it for indexing and retrieval;
• anonymize and transform it, including removing supplier names and identifiable commercial information;
• analyze it and derive aggregated and anonymized insights, benchmarks and embeddings from it;
• make the resulting anonymized material available to other Procurement Union Knowledge Hub members as part of the Service,
in each case for the purpose of operating, securing and improving the Platform. We do not transmit your Content to external third-party LLM providers, and we do not use it to train external AI models.
4. Anonymization and Review Before You Contribute

Contributed Content is passed through automated Anonymization before it is indexed, but automated anonymization is not perfect. You are asked to review each contribution and confirm it is safe to share before you submit it. You remain responsible for ensuring your Content can lawfully be shared. We do not disclose raw, un-anonymized Content to other users.
5. Your Representations and Warranties
Each time you contribute, you confirm that:
• you have the right to submit the Content and to grant the license in Section 3;
• the Content does not breach any non-disclosure or confidentiality obligation;
• the Content does not contain personal data unless you have a lawful basis or consent to share it;
• the Content does not infringe the intellectual property, contractual or other rights of any third party;
• the Content is lawful, ethically sourced, and free of malware or harmful code.
6. Acceptance, Removal and Irrevocability
Contribution is voluntary, and we are under no obligation to use any Content. We may accept, reject, or remove any contribution from active availability at our discretion.
As a matter of goodwill, we will use reasonable efforts to remove a specific contribution from active availability on your request where it is reasonably practicable to do so. However, because the license in Section 3 is irrevocable, and because Content is anonymized, aggregated and used to build derived material (such as benchmarks, indexes and model embeddings), you acknowledge that anonymized or derived material already created may not be fully reversible or separable, and may persist after a contribution is withdrawn. This protects the integrity of the shared Procurement Union Knowledge Hub for all members.
7. No Compensation
Contributions are voluntary and are not compensated, except where Procurement Union has explicitly agreed otherwise in writing — for example, under a published contributor program that exchanges contributions for access or recognition. Any such program is governed by its own published terms.
8. Confidentiality
We treat your raw Content as confidential and do not disclose it to other users. Only anonymised and transformed material derived from Content is made available within the Procurement Union Knowledge Hub, in line with this CLA and the Privacy Policy.
9. Indemnity
You agree to indemnify and hold Procurement Union harmless from any claim, loss or cost arising from Content you submitted in breach of the representations in Section 5 or otherwise in breach of this CLA.
10. No Warranty
The Procurement Union Knowledge Hub and the Service are provided “as is” as described in the Terms and Conditions of Use. We do not warrant that any contribution will be accepted, retained, or used, or that anonymisation will be error-free in every case.
11. Term and Survival
This CLA applies from your first contribution and continues for as long as you contribute. The license granted in Section 3 and your representations, indemnity and confidentiality obligations survive termination of your account or of this CLA.
12. Relationship with Other Terms
This CLA forms part of your agreement with Procurement Union together with the Terms and Conditions of Use and the Privacy Policy. If there is a conflict specifically about Contributed Content, this CLA prevails; otherwise, the Terms and Conditions of Use prevail.
13. Governing Law
This CLA is governed by the laws of the United Arab Emirates as applied in RAK Economic Zone and is subject to the same jurisdiction and dispute-resolution provisions as the Terms and Conditions of Use.
14. Changes to This CLA
We may update this CLA from time to time. We will revise the “Last updated” date above and, where changes are material, provide additional notice. Contributions you make after an update are governed by the then-current CLA.
